1. Introduction
These Terms of Service ("Terms") govern your use of the services provided by Apex Shift AI ("we", "us", "our"), a service-area business based in Waterkloof Ridge, Pretoria. By engaging our services, you agree to be bound by these Terms.
2. Service Descriptions and Scope
Apex Shift AI provides the following services:
- AI Readiness Audits: Comprehensive assessment of your digital presence and AI visibility, available in Starter (R3,500), Professional (R7,500), and Enterprise (R15,000–R18,000) tiers.
- AI-Ready Website Builds: Design and development of websites optimised for AI discovery, from R9,500.
- Monthly Retainers: Ongoing AI readiness support packages from R750/month.
The specific deliverables, timelines, and scope of each engagement will be agreed upon in writing before work commences.
3. Payment Terms
- All prices are quoted in South African Rand (ZAR) and are exclusive of VAT unless otherwise stated.
- Payment is accepted via Electronic Funds Transfer (EFT).
- Invoices are issued upon agreement and are payable within 7 business days unless otherwise specified.
- For project-based work, a 50% deposit is required before work commences, with the balance due upon completion.
- Monthly retainer fees are invoiced at the beginning of each month and are payable within 7 days.
4. Cancellation and Refund Policy
- You may cancel an engagement by providing written notice (email to info@apexshiftai.co.za).
- Cancellations made before work commences will receive a full refund of any deposit paid.
- Cancellations made after work has commenced will be charged for work completed up to the date of cancellation.
- Monthly retainers may be cancelled with 30 days' written notice. No refund will be issued for the current month.
- Custom work, once delivered and approved, is non-refundable.
5. Client Obligations
You agree to:
- Provide accurate and complete information necessary for the delivery of services.
- Respond to requests for information or feedback in a timely manner.
- Ensure you have the authority to grant us access to any websites, systems, or platforms required.
6. Intellectual Property
Upon full payment, you will own the deliverables created specifically for you (e.g., audit reports, website designs). We retain the right to use anonymised case studies and portfolio references unless you object in writing.
7. Limitation of Liability
- Our services are advisory in nature. We do not guarantee specific business outcomes, rankings, or revenue increases.
- Our total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific engagement.
- We shall not be liable for any indirect, incidental, special, or consequential damages.
- We are not liable for any losses resulting from your failure to implement our recommendations.
8. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives the termination of the engagement.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Pretoria, Gauteng.
10. Changes to These Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page. Your continued use of our services after changes are posted constitutes acceptance of the revised Terms.
